Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BAvolta platform and website at bavolta.com (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. About the Service
BAvolta is an online learning platform operated by SCL UP (the "Company," "we," "us," "our"):

BAvolta is the product brand under which SCL UP operates the Service. The Service provides interactive business analysis training through lessons, case simulations (Case Lab), knowledge checks, and portfolio-building exercises.

2. Account registration
To use the Service, you must create an account by providing your name, email address, and a password. You must:
- Provide accurate and complete registration information
- Be at least 16 years old
- Keep your login credentials confidential
- Notify us promptly if you believe your account has been compromised
You are responsible for all activity occurring under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Free and paid content
BAvolta offers a free tier (Module 1) and paid subscription plans (monthly and annual). Plan contents, feature availability, and pricing are displayed on the pricing page at bavolta.com at the time of purchase.
We may introduce additional paid offerings in the future (including one-time purchases, lifetime access, or premium add-ons). Terms specific to those offerings will be published before they become available and will form part of these Terms.
During any beta or introductory period, we reserve the right to change which content is free and which requires payment as the platform develops.
3.1 Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com Market Ltd ("Paddle"). Paddle is the Merchant of Record for all BAvolta orders, which means:
- Paddle handles payment processing, invoicing, and sales tax / VAT collection and remittance
- The purchase contract for your subscription is concluded between you and Paddle
- Paddle provides customer service for all billing and payment inquiries
- Paddle processes refunds in accordance with our Refund Policy and Paddle's own policies

4. Subscriptions, renewals, and cancellation
4.1 Billing cycles
Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You authorize Paddle to charge your selected payment method for each renewal until you cancel.
4.2 Price changes
We may change subscription prices for future billing periods. If we change the price of your plan, we will notify you by email at least 30 days before the change takes effect. If you do not agree to the new price, you may cancel before the change applies.
4.3 Cancellation
You may cancel your subscription at any time through:
- The Paddle customer portal (link provided in your purchase confirmation email)
- Emailing hello@bavolta.com
Cancellation stops future renewals. You retain access to paid content until the end of your current paid billing period. No partial refunds are issued for cancellation mid-period, except as provided in our Refund Policy or where required by applicable law.
4.4 Refunds
Refunds are governed by our Refund Policy and applicable consumer protection law.
5. How you may use the Service
You may use the Service for your personal, non-commercial learning purposes. Specifically, you may:
- Access and complete lessons, quizzes, and Case Lab simulations available in your plan
- Save and download your own Case Lab artifacts and portfolio items for personal use, including for job applications and interviews
- Share your own completed artifacts (e.g., in a public portfolio) with attribution to BAvolta as the training source
6. What you may not do
You may not:
- Share your account credentials with anyone or allow others to access the Service through your account
- Copy, reproduce, distribute, or republish BAvolta lesson content, case studies, quiz questions, or scenario text
- Scrape, crawl, or use automated tools to extract content from the Service
- Reverse engineer, decompile, or attempt to extract the source code of the platform
- Use the Service to develop a competing product or service
- Misrepresent your identity or impersonate another person
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service in any way that violates applicable laws or infringes the rights of others
We reserve the right to suspend or terminate your account, without refund, if we have reasonable grounds to believe you have materially breached this section.
7. Your content
"Your Content" means the work you produce on the Service: Case Lab submissions, stakeholder analyses, requirements documents, and other artifacts you create during exercises.
You own Your Content. Any original artifacts you create using BAvolta's exercises belong to you. You may use them in your portfolio, share them in job interviews, or include them in professional presentations.
License to us. By submitting Your Content on the Service, you grant us a limited, non-exclusive, royalty-free license to store, display (to you), and process Your Content for the purpose of providing the Service (e.g., generating feedback on Case Lab submissions). We will not publish, share, or use Your Content for any other purpose without your explicit consent.
8. Our content and intellectual property
All lesson content, course materials, case studies, quiz questions, scenario text, interactive components, the BAvolta name, logo, and visual design are owned by SCL UP and protected by copyright, trademark, and other intellectual property laws.
The curriculum structure, lesson narratives, character names and scenarios, and the specific instructional methodology are original works of SCL UP.
You may not reproduce, distribute, or create derivative works based on our content without our prior written permission.
9. Availability and changes to the Service
The Service is provided on an "as available" basis. We do not guarantee uninterrupted access. We may:
- Temporarily take the Service offline for maintenance or updates
- Modify, update, or remove content (including lessons and modules) at any time
- Change features, functionality, or the user interface
- Discontinue the Service entirely with reasonable notice to users and a pro-rata refund where applicable
10. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be error-free or uninterrupted
- The content will be accurate, complete, or current in all respects
- Completing our program will result in employment, certification, or any specific career outcome
BAvolta is an educational tool. Career outcomes depend on many factors beyond any training program. We make no guarantees about employment prospects, salary levels, or certification results.
Nothing in this section affects your mandatory consumer rights under applicable law, including rights under EU Directive 2019/770 on digital content and digital services.
11. Limitation of liability
To the maximum extent permitted by applicable law, SCL UP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, use, or goodwill, arising from or related to your use of the Service.
Our total aggregate liability for any claim arising from or related to the Service shall not exceed the greater of: (a) the amount you paid to us (via Paddle) in the 12 months preceding the claim, or (b) EUR 100.
Nothing in these Terms excludes or limits our liability for:
- Fraud or fraudulent misrepresentation
- Gross negligence or wilful misconduct
- Death or personal injury caused by our negligence
- Any other liability that cannot be excluded or limited under applicable law
12. Account termination
By you. You may delete your account at any time by emailing hello@bavolta.com. Upon deletion, we will remove your personal data within 30 days in accordance with our Privacy Policy, subject to retention obligations required by law (e.g., transaction records kept for 7 years under Belgian accounting law).
By us. We may suspend or terminate your account if you:
- Materially violate these Terms
- Use the Service in a way that could harm other users or the Service
- Attempt to access content or features without authorization
- Engage in fraudulent payment activity or chargeback abuse
If we terminate your account for cause, you are not entitled to a refund for the current or future billing periods, except as required by applicable law.
If we terminate the Service entirely, or terminate your account without cause, we will notify you and refund any prepaid amount pro rata.
13. Governing law and disputes
These Terms are governed by the laws of Belgium, without regard to conflict of law principles.
Any disputes arising from or related to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
If you are a consumer in the European Union, you retain the benefit of any mandatory provisions of the law of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable local law.
For EU consumers, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr to resolve disputes.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by displaying a notice on the platform at least 14 days before the changes take effect.
Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you may delete your account.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions will remain in full force and effect.
16. Entire agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SCL UP regarding your use of the Service. They supersede any prior agreements or understandings, whether written or oral.
